# Review of Counterparty’s Draft
I have reviewed the draft proposed by CC.
The main issues are as follows:
- DAATRA is not a party to the agreement and has not undertaken any obligation to issue shares.
- The terms of the shares to be received have not been determined. The consideration remains in the form of warrants, while the class and number of shares and whether any additional payment will be required remain undecided.
- The scope of the release granted to CustIntCo is excessively broad.
- The relationship between the proposed transition and the integration itself has not been properly addressed.
- The conditions and deadline for completion are insufficient, and there is no adequate disclosure of information necessary to assess the transaction.
- There is no remedy in the event of defects in the issuance of the shares.
- Continuity of the Japanese JV is not secured.
- The recitals are drafted in a manner that could be interpreted as an acknowledgement that the original investment was made as part of the contemplated integration. 【1-8ab325】
## 1. DAATRA Is Not a Party to the Agreement
This letter is a bilateral agreement between CustIntCo and your company, and DAATRA is not expected to sign it.
The letter itself expressly states that DAATRA has no obligation to issue shares (Section 3.4).
On the other hand, your company is required to agree in principle to the transition and to cooperate in implementing it.
For example, if DAATRA were to indefinitely delay issuing the warrants, the transition would never be completed. Nevertheless, your company would have no contractual right to require DAATRA to issue them and would remain bound by the cooperation obligation without any deadline.
**Proposed amendment:** DAATRA should be added as a party, making this a tripartite agreement, and DAATRA itself should undertake a direct obligation to issue shares to your company.
Settlement of the SAFE should occur only when your company has actually acquired those shares. 【1-8ab325】
## 2. The Terms of the Shares to Be Received Have Not Been Determined
Under the current draft, the consideration remains in the form of warrants rather than reflecting an agreement to provide equity directly.
The 0.714% figure is merely indicative, while the exercise price, the basis for calculating the capitalization, and the treatment of dilution are all left to documents to be agreed at a later stage.
Even the concept that no additional payment should be required is expressed merely as an “intention.” Depending on the exercise price of the warrants, your company could therefore be required to make an additional payment.
For example, if the 0.714% is calculated based on DAATRA’s pre-integration capitalization, your company’s ownership percentage would be diluted if shares are subsequently issued to Voicesense or other parties as part of the integration.
**Proposed amendment:** Shares, rather than warrants, should be issued without requiring any additional payment (Sections 2 and 3).
The number of shares should represent 0.714% of the fully diluted post-integration capitalization, including all shares, options and other securities issued in connection with the integration.
If additional integration-related shares are issued subsequently, additional shares should be issued to your company accordingly.
The class and rights of the shares, including their ranking relative to existing preferred shares and their treatment upon a sale or listing, should be specified in a schedule and reflected in the company’s constitution. 【1-8ab325】
## 3. The Scope of the Release Granted to CustIntCo Is Excessively Broad
Upon completion of the transition, CustIntCo would be released from all obligations and liabilities “under or in connection with” the SAFE (Section 4.3).
Although the draft refers to an exception for “obligations expressly reserved under this Letter,” there are in fact no obligations that are expressly reserved.
For example, even if your company had already become entitled to a distribution under the SAFE as a result of the integration, or CustIntCo had previously breached the SAFE, your company’s original rights could be extinguished in exchange for warrants whose value has not been determined.
**Proposed amendment:** The rights to be settled in exchange for the shares should be specifically identified, and those rights should be extinguished only to that extent and only when the shares have been validly acquired (Section 7).
Claims for damages arising from past breaches, default interest, rights under this agreement, and rights under the Japanese JV agreement should be expressly reserved. 【1-8ab325】
## 4. The Relationship with the Integration Has Not Been Properly Addressed
Under the SAFE, your company is entitled to certain distributions if control of CustIntCo changes or if substantially all of its business or assets are transferred.
The integration of CustIntCo’s business into DAATRA could potentially constitute such an event, but the letter does not address this issue.
For example, if CustIntCo’s business or intellectual property were transferred to DAATRA before completion of the transition, and the consideration were paid directly to the founders or other parties, there might no longer be an asset base from which your company could recover its investment even though the SAFE technically remained outstanding.
Likewise, if the SAFE has already converted into shares as a result of a financing, the relevant asset to be exchanged would be those shares rather than the SAFE itself.
**Proposed amendment:** The counterparty should first disclose, in a schedule, the current status of the SAFE, including whether any conversion or distribution event has occurred and whether any amounts remain unpaid, and should represent and warrant the accuracy of such information (Schedule 2).
If the integration or any related transaction is implemented before completion, CustIntCo should be required either to complete the transition simultaneously or to settle the SAFE in accordance with its terms.
Any shares already issued upon conversion should be included in the exchange, and the agreement should terminate if your company receives the full distribution to which it is entitled.
In addition, CustIntCo’s disposal of its business or intellectual property should be restricted prior to completion. 【1-8ab325】
## 5. The Completion Conditions and Deadline Are Insufficient, and There Is Inadequate Disclosure
Under the letter, the transition would be completed upon the occurrence of three events: execution of the definitive documents, valid issuance of the warrants, and confirmation by your company (Section 4.1).
However, there is no requirement to disclose information necessary to evaluate the proposed exchange, such as the terms of the integration, DAATRA’s capitalization and financial condition, or the terms offered to other investors.
Furthermore, under Singapore law, the rights attaching to preferred shares must be provided for in the company’s constitution. Nevertheless, amendment of the constitution and approval by existing shareholders are not included as conditions to completion. Nor is there any completion deadline.
As a result, for example, your company could remain indefinitely bound by its cooperation obligations even if the integration does not proceed.
**Proposed amendment:** The conditions to completion should include:
- your company’s review and satisfaction with the disclosed information;
- amendment of the constitution and receipt of necessary approvals from existing shareholders;
- implementation of the integration steps;
- execution of agreements necessary to ensure continuation of the JV; and
- continued accuracy of the counterparty’s representations and warranties.
These matters should be addressed in Sections 4 and 5.
Settlement of the SAFE should occur only after the shares have been validly issued and your company has been registered as a shareholder in ACRA’s electronic register of members.
A deadline should also be specified. If completion does not occur by that deadline, your company should be entitled to terminate the agreement, in which case the SAFE should remain fully effective. 【1-8ab325】
## 6. There Is No Remedy for Defects in the Share Issuance
The draft contains no provision dealing with a situation in which the shares issued are subsequently found to be invalid or where the class or number of shares differs from what was agreed.
For example, if the issuance were invalid because the necessary approval of existing shareholders had not been obtained, the transition might nevertheless formally be treated as completed, creating a dispute over the termination of the SAFE and the release of CustIntCo.
As noted above, DAATRA is not a party to the agreement, so there is also no contractual basis for requiring DAATRA to remedy the defect or provide compensation.
**Proposed amendment:** DAATRA should be subject to an obligation to cure any defect.
If the defect is not cured, your company should have the option of either:
- receiving monetary compensation equal to the higher of (i) an amount equivalent to the original investment and (ii) the fair market value of the shares had they been validly issued; or
- retaining its rights under the SAFE corresponding to the defective portion.
This should be addressed in Section 7.3. 【1-8ab325】
## 7. Continuity of the Japanese JV Is Not Secured
Even if the business is transferred to DAATRA, CustIntCo’s obligations under the JV agreement would not automatically transfer to DAATRA.
For example, if CustIntCo no longer has the relevant technology or personnel following the integration, the JV may have no counterparty from which it can require continued licensing or technical support.
**Proposed amendment:** The entity that will own the intellectual property and provide the relevant services following the integration should be identified.
A directly enforceable agreement should then be entered into among that entity, CustIntCo Japan and your company.
DAATRA should guarantee performance of those obligations, and effectiveness of that agreement should be made a condition to completion (Section 9).
In addition, if CustIntCo’s shares in the JV are to be transferred, completion should be conditional upon determining whether any filing is required under Japan’s Foreign Exchange and Foreign Trade Act and, if required, completing the necessary procedures. 【1-8ab325】
## 8. The Recitals May Be Construed as Acknowledging the Original Integration Plan
The recitals state that your company’s original investment formed part of a contemplated integration under DAATRA, and Section 5 also requires your company to confirm this understanding.
However, the Heads of Terms relied upon for this proposition were entered into after your company’s investment. It is therefore unclear whether your company was given such an explanation at the time of its investment or understood the contemplated integration to be part of the purpose of its investment.
It would be preferable to expressly state your company’s actual understanding at the time.
For example, if a dispute later arises as to whether the integration constitutes a distribution event under the SAFE or regarding the scope of the release, the current wording could be used to argue that “your company invested from the outset on the assumption that the integration would take place.”
**Proposed amendment:** The recitals should be limited to verifiable facts, such as the execution of the SAFE and the fact that the counterparty subsequently provided explanations regarding the Heads of Terms.
The confirmations in Sections 5(a) and 5(b) should either be deleted or revised to accurately reflect your company’s actual understanding. 【1-8ab325】
# Other Matters
A Singapore corporate registry search did not identify an entity named “DAATRA Pte. Ltd.,” which is stated to be a party to the counterparty’s proposed letter.
However, an entity named “DAATRA HOLDINGS PTE. LTD.” was identified and appears to have been incorporated on January 27, 2026.
Voicesense, on the other hand, appears to be an Israeli operating company with technology designed to infer personality traits and behavioral tendencies from characteristics such as voice intonation.
Voicesense reportedly established an APAC base in Singapore in 2024 and is included among the companies supported by Spark.
Taking this together with the counterparty’s corporate presentation, DAATRA may be a holding company newly established by Voicesense’s management in 2026. However, as noted above, the exact legal name of the entity needs to be confirmed. 【1-8ab325】
# Proposed Next Steps
As a prerequisite to moving forward, the information currently available is clearly insufficient. The counterparty should therefore be requested to provide additional documentation.
The documents required, as previously noted and reorganized below, are as follows.
## 1. Information Regarding the Issuer, DAATRA
- Exact legal name, UEN, and ACRA Business Profile, including clarification of the relationship between “DAATRA Pte. Ltd.” referred to in the letter and “DAATRA HOLDINGS PTE. LTD.” identified in the corporate registry.
- Group organizational chart showing Voicesense Ltd., Angelina, Owl, and the entities operating the InsightGenie business, together with DAATRA’s ownership interest in each entity.
- Fully diluted capitalization tables, both before and after the integration, including all shares and options expected to be issued in connection with the integration, SAFEs, convertible notes and stock-option pools.
- Constitution, shareholders’ agreement, and details of the rights attaching to existing preferred shares.
- Terms of the latest financing, including timing, valuation and investors; the latest financial statements; and supporting evidence for the figures presented in the corporate materials, including the USD 15 million investment amount, more than 40 customers, and the ARR target.
- Proposed method and timing of the U.S. listing, whether through an IPO, de-SPAC transaction or otherwise, together with details of the investment banks and advisers engaged. 【1-8ab325】
Once these materials have been obtained, the counterparty’s proposed agreement can be revised.
There are three possible approaches:
**Option A:** Enter directly into a detailed tripartite agreement among the three parties.
**Option B:** Preserve the counterparty’s draft as much as possible but restructure it as a **non-binding LOI**, with a definitive agreement subsequently entered into among the three parties.
**Option C:** Even if the letter remains legally binding, structure it as a **conditional agreement**, under which termination of the SAFE would be subject to the execution of a definitive agreement between DAATRA and your company on the terms contemplated in the letter and the actual issuance of the shares.
While also preparing the definitive tripartite agreement, **Option B, under which the counterparty’s existing letter is used as the basis for a non-binding LOI, appears to be the most measured approach.** 【1-8ab325】
**翻訳上の調整点:** 「修正の方向性」は法律文書として自然な **Proposed amendment**、「蓋然的な可能性」は断定を避けて *could potentially / may* とし、SAFE、fully diluted capitalization、condition to completion、representations and warranties、non-binding LOI など、契約・投資実務で一般的な英語に統一しました。

('1. DAATRA Is Not a Party to the Agreement',[
'This letter is a bilateral agreement between CustIntCo and your company, and DAATRA is not expected to sign it.',
'The letter itself expressly states that DAATRA has no obligation to issue shares (Section 3.4).',
'On the other hand, your company is required to agree in principle to the transition and to cooperate in implementing it.',
'For example, if DAATRA were to indefinitely delay issuing the warrants, the transition would never be completed. Nevertheless, your company would have no contractual right to require DAATRA to issue them and would remain bound by the cooperation obligation without any deadline.',
'Proposed amendment: DAATRA should be added as a party, making this a tripartite agreement, and DAATRA itself should undertake a direct obligation to issue shares to your company.',
'Settlement of the SAFE should occur only when your company has actually acquired those shares.'
]),
('2. The Terms of the Shares to Be Received Have Not Been Determined',[
'Under the current draft, the consideration remains in the form of warrants rather than reflecting an agreement to provide equity directly.',
'The 0.714% figure is merely indicative, while the exercise price, the basis for calculating the capitalization, and the treatment of dilution are all left to documents to be agreed at a later stage.',
'Even the concept that no additional payment should be required is expressed merely as an “intention.” Depending on the exercise price of the warrants, your company could therefore be required to make an additional payment.',
'For example, if the 0.714% is calculated based on DAATRA’s pre-integration capitalization, your company’s ownership percentage would be diluted if shares are subsequently issued to Voicesense or other parties as part of the integration.',
'Proposed amendment: Shares, rather than warrants, should be issued without requiring any additional payment (Sections 2 and 3).',
'The number of shares should represent 0.714% of the fully diluted post-integration capitalization, including all shares, options and other securities issued in connection with the integration.',
'If additional integration-related shares are issued subsequently, additional shares should be issued to your company accordingly.',
'The class and rights of the shares, including their ranking relative to existing preferred shares and their treatment upon a sale or listing, should be specified in a schedule and reflected in the company’s constitution.'
]),
('3. The Scope of the Release Granted to CustIntCo Is Excessively Broad',[
'Upon completion of the transition, CustIntCo would be released from all obligations and liabilities “under or in connection with” the SAFE (Section 4.3).',
'Although the draft refers to an exception for “obligations expressly reserved under this Letter,” there are in fact no obligations that are expressly reserved.',
'For example, even if your company had already become entitled to a distribution under the SAFE as a result of the integration, or CustIntCo had previously breached the SAFE, your company’s original rights could be extinguished in exchange for warrants whose value has not been determined.',
'Proposed amendment: The rights to be settled in exchange for the shares should be specifically identified, and those rights should be extinguished only to that extent and only when the shares have been validly acquired (Section 7).',
'Claims for damages arising from past breaches, default interest, rights under this agreement, and rights under the Japanese JV agreement should be expressly reserved.'
]),
('4. The Relationship with the Integration Has Not Been Properly Addressed',[
'Under the SAFE, your company is entitled to certain distributions if control of CustIntCo changes or if substantially all of its business or assets are transferred.',
'The integration of CustIntCo’s business into DAATRA could potentially constitute such an event, but the letter does not address this issue.',
'For example, if CustIntCo’s business or intellectual property were transferred to DAATRA before completion of the transition, and the consideration were paid directly to the founders or other parties, there might no longer be an asset base from which your company could recover its investment even though the SAFE technically remained outstanding.',
'Likewise, if the SAFE has already converted into shares as a result of a financing, the relevant asset to be exchanged would be those shares rather than the SAFE itself.',
'Proposed amendment: The counterparty should first disclose, in a schedule, the current status of the SAFE, including whether any conversion or distribution event has occurred and whether any amounts remain unpaid, and should represent and warrant the accuracy of such information (Schedule 2).',
'If the integration or any related transaction is implemented before completion, CustIntCo should be required either to complete the transition simultaneously or to settle the SAFE in accordance with its terms.',
'Any shares already issued upon conversion should be included in the exchange, and the agreement should terminate if your company receives the full distribution to which it is entitled.',
'In addition, CustIntCo’s disposal of its business or intellectual property should be restricted prior to completion.'
]),
('5. The Completion Conditions and Deadline Are Insufficient, and There Is Inadequate Disclosure',[
'Under the letter, the transition would be completed upon the occurrence of three events: execution of the definitive documents, valid issuance of the warrants, and confirmation by your company (Section 4.1).',
'However, there is no requirement to disclose information necessary to evaluate the proposed exchange, such as the terms of the integration, DAATRA’s capitalization and financial condition, or the terms offered to other investors.',
'Furthermore, under Singapore law, the rights attaching to preferred shares must be provided for in the company’s constitution. Nevertheless, amendment of the constitution and approval by existing shareholders are not included as conditions to completion. Nor is there any completion deadline.',
'As a result, for example, your company could remain indefinitely bound by its cooperation obligations even if the integration does not proceed.',
