本文
和訳してAccrete's original US$500,000 investment in CustIntCo Pte. Ltd. (“CC”), pursuant to a Simple Agreement for Future Equity (SAFE) based on a US$70 million conversion valuation, was made in contemplation of a broader strategic consolidation involving CC, VS, Owl and Angelina under DAATRA, with the ultimate objective of pursuing a potential US public-market listing through a Special Purpose Acquisition Company (SPAC) transaction.
Following subsequent restructuring developments affecting CC, it has been determined that CC will no longer participate in the proposed corporate consolidation. DAATRA will nevertheless continue to pursue its strategic development and contemplated public-market transaction, incorporating the other participating businesses as appropriate.
To preserve Accrete's participation in the original broader investment opportunity, it is proposed that Accrete receive warrants over shares in DAATRA in place of its originally contemplated future equity interest in CC, on the same US$500,000 investment basis and US$70 million valuation reference. The detailed warrant terms and treatment of Accrete's existing SAFE rights will be documented and agreed separately.
